SPA STRONG TRIPLE THREAT MEMBERSHIP TERMS OF USE
The following Terms of Use are entered into between THE SUBSCRIBER and Spa Strong LLC.
The following terms and conditions, together with any documents they expressly mention or incorporate by reference (collectively, “Terms of Use”), govern Subscribers access to and use of The Spa Strong Triple Threat Membership, including any content, programs, functionality, or services offered through the site or related sites ( “The Spa Strong Triple Threat Membership”), whether as a guest or a registered user.
Subscribers must read these Terms of Use carefully before Subscribers start to use The Spa Strong Triple Threat Membership. By using The Spa Strong Triple Threat Membership or by clicking to accept or agree to the Terms of Use when this option is made available to them, they accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated by reference. If they do not agree to these Terms of Use including the agreements incorporated documents, they cannot access or use The Spa Strong Triple Threat Membership.
The Spa Strong Triple Threat Membership is offered and available to users who are 18 years of age or older. By using this Course, Subscribers represent and warrant that they are of legal age to form a binding contract with the Company and comply with the terms of this Agreement. If Subscribers do not meet all of these requirements, they must stop using The Spa Strong Triple Threat Membership.
1.0 COURSE/SERVICE. Spa Strong LLC (herein referred to as “Spa Strong LLC”) agrees to provide the content (herein referred to as “The Spa Strong Triple Threat Membership”) as identified on the Membership description. As a condition of purchasing and participating in The Spa Strong Triple Threat Membership, Subscribers agree to be bound by all the policies and procedures set out in this Agreement, including those incorporated by reference.
As part of the The Spa Strong Triple Threat Membership, the Company shall provide Subscribers:
The Spa Strong Triple Threat Membership Participant Group: Spa Strong LLC shall create and maintain a closed group for students of The Spa Strong Triple Threat Membership (“the Triple Threat Group”). The Spa Strong Triple Threat Membership Group shall be open a minimum of Subscriber’s yearly subscription length. This is a community-run group, meaning that students are encouraged to help each other. Spa Strong LLC requires Subscribers to abide by the group policies posted in the Group, by the rules of the group hosting platform, and any other directives by The Spa Strong Triple Threat Membership staff or they may be dismissed from the group. Live Streams: Royal and M’Lisa Ellis, or other professionals selected by the Spa Strong staff, may conduct live trainings that include a Question and Answer session each month for t Subscribers in The Spa Strong Triple Threat Membership with expertise that is pertinent to the participants of the group. At the completion of Subscribers’ Subscription Period, Spa Strong LLC shall automatically remove their access to these monthly trainings. Please note that all trainings and information will be generated according to the general interests of the group as a whole, and will not be specifically catered to Subscribers and their business. This kind

Please note that all trainings and information will be generated according to the general interests of the group as a whole, and will not be specifically catered to Subscribers and their business. This kind of one-on-one training is accessible through our coaching program alone.
Early Access to Courses: Spa Strong LLC may release content in which subscribers of The Spa Strong Triple Threat Membership may have early access to view live recordings of course before said courses being released to the general public. Not every course released by Spa Strong LLC will provide early access opportunities. Spa Strong LLC reserves the right to invite others, outside of The Spa Strong Triple Threat Membership to participate in Early Bird Access, including, but not limited to, affiliate partners, industry influencers, and educational partners.
10% off Products: Spa Strong LLC may offer a discount of 10% to their Subscribers, to deduct off Spa Strong LLC’s products, not including coaching, paid events, and masterminds. Subscribers will receive a code regarding applicable products to get the 10% off at the checkout period. Refunds will not be issued to Subscribers who purchase the product - Subscribers are not permitted to share the 10% off code with anyone who is not a current member of The Spa Strong Triple Threat Membership. Subscribers who are found violating this agreement regarding the 10% off code will have their subscription suspended and no refund will be issued. If Subscribers purchase a product before purchasing The Spa Strong Triple Threat Membership subscription, no refund will be retroactively issued for those products.
2.0 Disclaimer.
Spa Strong LLC’s Terms of Use, Privacy Policy, and Disclaimer are hereby incorporated by reference into this agreement. Except as modified by this Agreement, each of those agreements and policies shall apply fully to Subscribers’ participation in the Course.
Subscribers understand Spa Strong LLC is not serving Subscribers as a licensed professional and is not providing accounting, tax, legal, financial, healthcare, therapeutic advice, diagnosis, or treatment. Subscribers understand that Spa Strong LLC has not promised and will not; (1) procure or attempt to procure employment or business or sales for the individual; (2) perform any business management functions including but not limited to, accounting, tax or investment consulting, or advice with regard thereto; (3) act as a therapist providing psychoanalysis, psychological counseling or behavioral therapy; (4) act as a public relations manager; (5) act as a publicist to procure any publicity, interviews, write-ups, features, television, print or digital media exposure for the individual; (6) introduce Subscribers to Spa Strong LLC’s network of contacts, media partners or business partners; (7) diagnose or treat any illnesses or disease or (8) promise any set of results from The Spa Strong Triple Threat Membership. Subscribers understand that a relationship does not exist between the parties after the conclusion of this The Spa Strong Triple Threat Membership. If the Parties wish to continue their relationship, they shall execute a separate agreement that explicitly governs that relationship.
3.0. PAYMENT
In consideration of Subscribers’ access to The Spa Strong Triple Threat Membership, Subscribers agree to pay the following fees:
- Subscribers must pay the balance reflected on the sales checkout page (due immediately).
Subscribers agree that, if they select the option to pay monthly, the card used for this initial purchase will be the same one billed for subsequent months of the yearly subscription duration. The Subscription duration will last year-to-date from the first date of access. This excludes our Early Bird purchasers, whose membership will last until March of 2022 if purchased before February of 2021.
4.0. METHODS OF PAYMENT
If Subscribers elect for the subscription via monthly payments, Subscribers hereby authorize the Company to charge their credit card or debit card automatically according to the terms outlined in the Payment section above. If Subscribers pay via ACH, they understand and agree that any changes in their account information, including requests to terminate this agreement, must be in writing and be emailed to Spa Strong LLC, at the above email address, at least twenty-one (21) days before the next due date. If the payment due date falls on a weekend or holiday, Subscribers understand and agree that the payment may be executed on the next business day. Subscribers understand and agree that as this is an electronic transaction, adequate funds must be available for withdrawal from Subscribers’ account by the payment due date. In the case of an ACH transaction being rejected for Non-Sufficient Funds (NSF), submission error, or other bank-related return reasons, Subscribers understand and agree that the company may at its discretion resubmit the ACH debit transaction within thirty (30) days. Subscribers understand and agree that, per the loan documents, a 10% late charge will be assessed if the amount due is not received in good and collected funds by the end of the grace period. Subscribers also understand and agree that a return item charge may be assessed for each returned ACH debit. Subscribers also acknowledge that if payment cannot be processed for any reason, their subscription to The Spa Strong Triple Threat Membership will be suspended. Subscribers also acknowledge that the origination of ACH transactions to Spa Strong LLC account must comply with provisions of U.S. law and agree not to dispute this recurring billing with Subscriber’s bank so long as the transactions correspond to the terms indicated in this authorization form.
If Subscribers elect for the one-time payment of $480, Subscribers hereby authorize the Company to charge their credit card or debit card automatically according to the terms outlined in the Payment section above (3.0). If Subscribers pay via ACH, they understand and agree that all changes in their account information, including requests to terminate this agreement, must be in writing and be emailed to Spa Strong LLC, at the above email address, at least twenty-one (21) days before the next due date. If the payment due date falls on a weekend or holiday, Subscribers understand and agree that the payment may be executed on the next business day. 5.0. REFUND POLICY
We want Subscribers to be satisfied with their purchase, but we also want Subscribers to give their best effort to apply all of the strategies in The Spa Strong Triple Threat Membership. As stated above, the Subscription duration will last year-to-date from the first date of access. Refunds are only permitted to be requested by the Subscriber and processed by Spa Strong LLC with the first 14 days after the purchase has been permitted.
Spa Strong LLC provides a 14-day money-back guarantee, for The Spa Strong Triple Threat Membership. That money-back guarantee is governed by the following terms.
In the event that Subscribers decide their purchase was not the right decision, within the refund period, they must contact our support team at [email protected] and let Spa Strong LLC know they would like a refund by the end of the refund period at 11:59 CST.
We will NOT provide refunds for any request that comes more than 14 days following the date of purchase. After day 14, all payments are non-refundable and Subscribers are responsible for full payment of the fees for The Spa Strong Triple Threat Membership regardless of whether Subscribers use all benefits of The Spa Strong Triple Threat Membership.
Upon determining that Subscribers are entitled to a refund according to this policy, Spa Strong LLC will promptly issue an instruction to its payment processor to issue the refund. Spa Strong LLC does not control its payment processor and will not be able to expedite any refunds.
If Subscribers receive a refund of any purchase through this money-back guarantee, that shall immediately terminate all licenses granted Subscribers to use the material provided to Subscribers under this Agreement and the Company’s Terms of Use. Subscribers shall immediately cease using the material and shall destroy all copies of the information provided to Subscribers, including without limitation: video recordings, audio recordings, forms, template documents, slide shows, membership areas, social media groups limited to paying members, and other resources.
All refunds are discretionary as determined by Spa Strong LLC. To further clarify, we will not provide refunds for requests made after the refund period from Subscribers’ date of purchase and all payments must be made on a timely basis. If payments are not made on time, Subscribers agree to pay interest on all past-due sums at a rate of 1.5% per month or the highest rate allowed by law, whichever is greater.

6.0. CONFIDENTIALITY
Spa Strong LLC respects the Subscriber’s privacy and will not disclose any information Subscribers provide except as outlined in this Agreement and the incorporated Privacy Policy. As a condition of participating in The Spa Strong Triple Threat Membership, Subscribers hereby agree to respect the privacy of other Subscription participants and to respect Spa Strong LLC confidential information.
Specifically, Subscribers shall not share any information provided by other Subscription participants outside of the bounds of The Spa Strong Triple Threat Membership, in any format, unless Subscribers receive express written permission from such other participant to share the information. Similarly, the content of The Spa Strong Triple Threat Membership contains Spa Strong LLC’s proprietary methods, processes, forms, templates, and other information. Subscribers hereby agree not to share the information provided in The Spa Strong Triple Threat Membership with anyone other than Spa Strong LLC, its owners and employees, and other Subscription participants.
7.0. GUEST CONTENT
Spa Strong LLC may provide information from a third party in the form of a podcast guest interview, audio interview, interview on another platform, guest blog post, panel, roundtable, or another format. Spa Strong LLC does not control the information provided by any third-party guest or its truthfulness and cannot guarantee the veracity of any guest information.
Individuals who agree to appear as guests or contribute content in any way to Spa Strong LLC agree to transfer all intellectual property rights they may have in any such interviews to Spa Strong LLC and further provide a license to any rights they are unable to assign.
8.0. NO TRANSFER OF INTELLECTUAL PROPERTY
All content included as part of The Spa Strong Triple Threat Membership, such as text, graphics, logos, slides, images, audio, video, as well as the compilation thereof, and any software used in The Spa Strong Triple Threat Membership, is the property of Spa Strong LLC or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.
Spa Strong LLC name, Spa Strong LLC logo, Spa Strong LLC slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of Spa Strong LLC or its affiliates or licensors. Subscribers cannot use such marks without the prior written permission of Spa Strong LLC. All other names, logos, product and service names, designs, and slogans in Spa Strong LLC are the trademarks of their respective owners.
Subscriber participation in The Spa Strong Triple Threat Membership does not result in a transfer of any intellectual property to them, and, as a condition of participation in The Spa Strong Triple Threat Membership, Subscribers agree to observe and abide by all copyright and other intellectual property protection.
Subscribers are granted a limited, personal, non-exclusive, non-transferable, license to access and use The Spa Strong Triple Threat Membership content and resources for Subscribers' own personal or internal business use. Subscribers hereby agree that they will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in The Spa Strong Triple Threat Membership. By ordering or participating in The Spa Strong Triple Threat Membership, Subscribers further agree that they shall not create any derivative work based upon The Spa Strong Triple Threat Membership and they shall not offer any competing products or services based upon any information contained in The Spa Strong Triple Threat Membership.
Spa Strong LLC content is not for resale. Subscribers participation in The Spa Strong Triple Threat Membership does not entitle Subscribers to make any unauthorized use of any protected content, and in particular, Subscribers will not remove or alter any proprietary rights, metadata, footnotes, watermarks, or attribution notices in any content. Subscribers will use protected content solely for their individual use and will make no other use of the content without the express written permission of Spa Strong LLC and the copyright owner. Subscribers agree that they do not acquire any ownership rights in any protected content. Spa Strong LLC does not grant Subscribers any licenses, express or implied, to the intellectual property of Spa Strong LLC or our licensors except as expressly authorized herein.
Subscribers hereby agree that any infringement of Spa Strong LLC’s intellectual property shall result in an immediate termination of the license granted hereunder. To be clear, if Subscribers violate Spa Strong LLC’s intellectual property rights, Subscribers' access to The Spa Strong Triple Threat Membership will be terminated immediately, and they shall not be entitled to a refund of any portion of the fees. Subscribers may also be subject to further penalties or damages as permitted by the fullest extent of the law. Subscribers acknowledge that the actual damages likely to result from breach of this Section are difficult to estimate on the date of this agreement and would be difficult for Spa Strong LLC to prove. The parties intend that Subscribers’ payment of the Liquidated Damages Amount would serve to compensate Spa Strong LLC for any breach by Subscribers of its obligations under this Section, and they do not intend for it to serve as punishment for any such breach by Subscribers. Each instance of noncompliance with this prohibition constitutes a separate instance of infringement, and subjects Subscribers to a payment obligation of USD 150,000 per infringement, as liquidated damages and not as a penalty.
Spa Strong LLC provides various resources on this Website, which users may access by providing an email address. Spa Strong LLC grants Subscribers a limited, personal, non-exclusive, non-transferable license to use our resources (Free content) provided in exchange for an email address for their own personal or internal business use. Except as otherwise provided, Subscribers acknowledge and agree that they have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Free Content in any manner.
By downloading the Free Content, Subscribers agree that the Free content they download may only be used by Subscribers for their personal or business use and may not be sold or redistributed without the express written consent from Spa Strong LLC.
By downloading the Free Content, Subscribers further agree that they shall not create any derivative work based upon the Free content and shall not offer any competing products or services based upon any information contained in the Free Content.
9.0 INDEPENDENT CONTRACTOR STATUS
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Spa Strong LLC is agreeing only to provide Subscribers with access to The Spa Strong Triple Threat Membership, for information and educational purposes. The information contained in The Spa Strong Triple Threat Membership, including any interactions with the instructors, is not intended as, and shall not be understood or construed as professional advice.
10.0 FORCE MAJEURE
Spa Strong LLC shall not be liable or responsible to Subscribers, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in performing any term of this Agreement if caused by acts or circumstances beyond the reasonable control of Spa Strong LLC including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), server failures, data breaches, data loss or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
11.0 SEVERABILITY/WAIVER
If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate such term in any other jurisdiction.
12.0 MISCELLANEOUS
Subscribers agree to hereby absolve Spa Strong LLC of all liability or loss that Subscribers or any person or entity associated with them may suffer or incur as a result of the use of The Spa Strong Triple Threat Membership and/or any information and resources contained in the Course. Subscribers agree that Spa Strong LLC shall not be liable to them for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of The Spa Strong Triple Threat Membership.
The information, software, products, and service included or available through The Spa Strong Triple Threat Membership may include inaccuracies or typographical errors. Changes are periodically added to the information in The Spa Strong Triple Threat Membership. Spa Strong LLC and/or its suppliers may make improvements and/or changes in The Spa Strong Triple Threat Membership at any time.
Spa Strong LLC and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained in The Spa Strong Triple Threat Membership for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. Spa Strong LLC and/or its suppliers hereby disclaim all warranties and conditions concerning this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall Spa Strong LLC and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of The Spa Strong Triple Threat Membership, with the delay or inability to use The Spa Strong Triple Threat Membership or related service, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through The Spa Strong Triple Threat Membership, or otherwise arising out of the use of The Spa Strong Triple Threat Membership, whether based on contract, tort, negligence, strict liability or otherwise, even if Spa Strong LLC or any of its suppliers has been advised of the possibility of damages. Because some states or other jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to them. If Subscribers are dissatisfied with The Spa Strong Triple Threat Membership or any portion of it, their sole and exclusive remedy is to discontinue using The Spa Strong Triple Threat Membership.
13.0 ASSIGNMENT
Subscribers may not assign this Agreement without the express written consent of Spa Strong LLC.
14.0 MODIFICATION
Spa Strong LLC reserves the right, in its sole discretion, to change the Terms under which The Spa Strong Triple Threat Membership is offered. The most current version of the Terms will supersede all previous versions. Spa Strong LLC encourages Subscribers to periodically review the Terms to stay informed of our updates.
15.0 TERMINATION
Spa Strong LLC reserves the right, in its sole discretion, to terminate Subscribers’ access to The Spa Strong Triple Threat Membership and the related services or any portion thereof at any time, if Subscribers become disruptive to the Spa Strong LLC or other participants, if they fail to follow The Spa Strong Triple Threat Membership guidelines, or if Subscribers otherwise violate this Agreement. Subscribers shall not be entitled to a refund of any portion of the fees and shall not be excused from any remaining payments under a payment plan in the event of such termination.
16.0 INDEMNIFICATION
Subscribers agree to indemnify, defend, and hold harmless Spa Strong LLC, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of Subscribers use of or inability to use The Spa Strong Triple Threat Membership and related services, any user postings made by Subscribers, their violation of any terms of this Agreement or their violation of any rights of a third party, or their violation of any applicable laws, rules or regulations. Spa Strong LLC reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Subscribers, in which event they will fully cooperate with Spa Strong LLC in asserting any available defenses.
17.0 RESOLUTION OF DISPUTES
Subscribers hereby expressly waive all claims they may have, now or in the future, arising out of or relating to The Spa Strong Triple Threat Membership, Spa Strong LLC, all contracts they enter into with Spa Strong LLC, and all of Spa Strong LLC’s products and services.
To the extent that Subscribers attempt to assert any such claim, they hereby expressly agree to present such claim only through binding arbitration to occur in Frisco, Collin County, Texas. Subscribers further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims Subscribers and/or any entity related to Subscribers assert against Spa Strong LLC. To the fullest extent permissible by law, Subscribers further agree they shall be responsible for all costs associated with initiating the arbitration and for the administration of the arbitration.
18.0 INTERNATIONAL USERS
The Service is controlled, operated, and administered by Spa Strong LLC from our offices within the USA. If Subscribers access the Service from a location outside the USA, they are responsible for compliance with all local laws. Subscribers agree that they will not use the Spa Strong LLC Content accessed through The Spa Strong Triple Threat Membership in any country or territory or any manner prohibited by any applicable laws, restrictions, or regulations.
19.0 EARNINGS DISCLAIMER
Every effort has been made to accurately represent this product/course and its potential. This site and the products offered on this site are not associated, affiliated, endorsed, or sponsored by any platform, including YouTube, Instagram, or Facebook, nor have they been reviewed, tested, or certified by any platform.
There is no guarantee that Subscribers will earn any money using the techniques and ideas in these materials.
